1. TERMS, USED IN THESE RULES, AND THEIR DEFINITIONS

The terms when used in these Rules, unless otherwise specified in certain provisions of these Rules, shall have the following meanings:

1.1. Promotional Offer - sales promotion named “Gain more”, conducted in accordance with the terms of these Rules.

1.2. Bank —JOINT-STOCK COMPANY ALFA-BANK

1.3. Bonus Point - conventional unit accrued by the Bank to the Promotional Offer Participant when the Promotional Offer Participant performs the transactions using the card/s (pursuant to the Annex No 1 of the Cash’U CLUB Program Rules), and determines the scope of the Participant’s rights to get the rewards in accordance with the Cash’U CLUB Program Rules.

1.4. Bonus Account - an account of the Cash’U CLUB Program participant in the Bank's system, which contains a set of accounting data and information about the Participant, the number of bonus points accrued (received) and/or debited (used) by the Participant, as well as the current bonus balance (remaining bonus balance). The bonus account is not a bank account. The bonus points accrued by the Bank as a result of debit/credit card transactions (in accordance with the Annex No 1 of the Cash’U CLUB Program Rules) of one Participant issued by the Bank (including the cards issued in the name of third parties) are recorded on one Bonus Account.

1.5. Cardholder – an individual (resident/non-resident) (in accordance with the terms of the product) for whom the Account was opened under the banking services agreement and the card was issued by the Bank or the Customer’s Authorized Representative, who legally uses the Card (its details) to initiate the funds transfer, to perform other card transactions (according to the terms of the card product).

1.6. Banking Services Agreement (BS Agreement) — Agreement on banking services to individuals in JSC Alfa-Bank, entered into by and between the Bank and the Customer.

1.7. Card - electronic means of payment - an international Visa or MasterCard Payment Card issued by the Bank to the Cardholder, by means of which the Customer performs the transactions on the Account under the terms specified in the Agreement, including at the expense of the funds provided by the Bank under the Revolving Credit Facility.

1.8. Customer — an individual who acceded the Banking Services Agreement.

1.9. Alfa-Bank Contact Centre - system of software packages of the Bank, which allows the Customer to receive remotely the reference information about banking services provided by the Bank as part of banking services, to perform the transactions, as well as to disconnect/connect the services, presupposed by the Banking Services Agreement, through telephone channel in automatic mode and/or with the involvement of the operator - Bank's employee, as well as to report about all information available to the Customer under the Cash’U CLUB Program and Promotional Offer.

1.10. Alfa-Mobile Ukraine App and/or Sense SuperApp - software designed to run on smartphones, tablets and other mobile devices with support for iOS, Android operating systems and that allows the Participant to review the information on the Bonus Account and exchange Bonus Points for rewards. Alfa-Mobile Ukraine App and/or Sense SuperApp can be installed/downloaded on the mobile device from App Store or Google Play. Alfa-Mobile Ukraine App and/or Sense SuperApp are constantly improving and they have to be regularly updated to the latest version.

1.11. Cashback - accrual of a percentage of the transaction amount for payment for the goods or services expressed in bonus points using the Card in the manner and under the conditions specified by the Cash’U CLUB Program.

1.12. Bonus Points Accrual - a procedure, as a result of which there is an increase in the number of Bonus Points on the Bonus Account of the Participant on the grounds provided in the Rules of Cash’U CLUB Program.

1.13. Operation (transaction) - a cashless payment transaction using the Card/its details (including Token) in the trade and service network worldwide (except the transactions specified in the p. 3.7 of the Cash’U CLUB Program Rules, for which Bonus Points are accrued in accordance with the Rules of the Promotional Offer and Cash’U CLUB Program Rules.

1.14. Organizer - a person which arranges the Promotional Offer and performs other functions assigned to it by these Rules.

1.15. Partner - a person which rewards the Bank for the transactions made by the Bank’s Customer in its trading network and performs other functions assigned to it by these Rules.

1.16. Rules of the Bank Rewards Program (hereinafter referred to as the Cash’U CLUB Program Rules) - a document defining the terms and conditions and procedure for participation of the customers in the Cash'U CLUB Program, publicly available in the Cash’U CLUB section in Alfa-Mobile Ukraine App and/or in Sense SuperApp and/or on the Bank's website and/or on the Cash’U CLUB Program web-site.

1.17. Rules/Rules of the Promotional Offer - a document defining the terms and conditions and procedure for participation of the customers in the Promotional Offer, publicly available in the “Promotions” section in Alfa-Mobile Ukraine App and/or in Sense SuperApp and/or on the Bank's and/or on the Cash’U CLUB Program web-site.

1.18. Bank Rewards Program (hereinafter referred to as the Cash’U CLUB Program) -bonus Program, which is based on the system of accumulation and use of Bonus Points. The program is implemented under the management of the Bank and is aimed at increasing the transaction activity and loyalty of the Participants.

1.19. Promotional Offer Area - the territory where the terms of the Promotional Offer and/or the special offer are in place.

1.20. MAB System (hereinafter referred to as My Alfa-Bank) - software and hardware complex of the Bank, which provides remote services to its customers, including remote management of their accounts and providing them with information services through Internet communication channels. Alfa-Mobile Ukraine App and/or Sense SuperApp is an integral part of the MAB System, designed for smartphones/tablets/other mobile devices running Android or iOS.

1.21. Promotional Offer Period - the day starting from which the conditions of the Promotional Offer specified in these Rules shall be valid and duration of the validity.

1.22. Promotional Offer Participant - an individual, who meets the requirements, specified in the Section 3 hereof, and who has properly complied with the terms of participation in the Promotional Offer, specified in the Section 4 hereof, and adheres to the terms of the Cash’U CLUB Program Rules.

2. PROMOTIONAL OFFER ORGANIZER AND PARTNER, AREA AND PERIOD (DURATION) OF THE PROMOTIONAL OFFER

2.1. The Organizer of the Promotional Offer is JOINT-STOCK COMPANY ALFA-BANK – a legal entity, incorporated and registered under the laws of Ukraine, EDRPOU code 23494714, located at the address: 100 Velyka Vasylkivska Str., Kyiv, Ukraine 03150, tax number 234947126659, tel. +38 044 496 33 50, license of the National Bank of Ukraine No 61 as of October 5, 2011.

2.2. The Partner of the Promotional Offer is a legal entity specified in the Annex No 1 of these Rules.

2.3. Promotional Offer period – from March 1, 2019 and until termination of the Promotional Offer by the Organizer with appropriate notification of customers in accordance with the Section 6 of the Promotional Offer Rules.

2.4. The Promotional Offer is carried out on the territory of Ukraine, except for the territory of the Autonomous Republic of Crimea and Sevastopol in connection with the adoption of the Law of Ukraine “On the Protection of Citizen Rights and Freedoms on the Temporarily Occupied Territory of Ukraine” from 15.04.2014 No 1207-VII, and a number of localities on the territory of Donetsk and Luhansk regions (according to the List of settlements on the territory of which public authorities temporarily do not exercise their powers, approved by the Order of the Cabinet of Ministers of Ukraine dated 07.11.2014 No 1085-r (as amended). This temporary restriction shall be applied only for the reasons of safety of the residents of these regions and the inability of the Organizer and / or the Partner to guarantee the proper conduct of the Promotional Offer.

2.5. The persons who meet all the requirements and terms and conditions of the Promotional Offer shall take part in the Promotional Offer.

3. PARTICIPATION IN THE PROMOTIONAL OFFER

3.1. Special terms and conditions shall be automatically applicable to the customers of JSC ALFA-BANK, who meet the following requirements as a whole:

• are citizens of Ukraine;

• reside on the territory of Ukraine and have reached the age of majority (18 years);

• have the registration number of the taxpayer's registration card (TIN) or if there is a mark in the passport of a citizen of Ukraine on the right to make any payments by series and passport number;

• are holders of the cards, specified in the Annex No 1 of the Cash’U CLUB Program Rules, issued on the basis of the relevant agreement concluded with the Bank, under the terms of which the customer has received a card.

• are participants of Cash’U CLUB Program and comply with the rules of Cash’U CLUB Program.

3.2. Participation in the Promotional Offer of minors, persons with disabilities and incapacitated persons is carried out in accordance with the current legislation of Ukraine.

3.3. Restrictions on participation in the Promotional Offer:

3.3.1. Persons who can’t participate in the Promotional Offer:Не можуть бути Учасниками Акції:

• holders of the cards, by means of which the transactions can be carried out on the accounts, under which the procedure of account closure has been initiated, and / or under the agreements on the basis of which such cards have been issued, there is an overdue debt of the customer to the Bank.

• holders of the cards, which are not indicated in the Annex No 1 of the Cash’U CLUB Program Rules.

• customers of the Bank who don’t use Alfa-Mobile Ukraine App and/or Sense SuperApp and don’t participate in the Cash’U CLUB Program.

3.4. The Organizer reserves the right to create the final list of Promotional Offer Participants in accordance with the terms and conditions specified in the Section 3 hereof.

3.5. The right to participate in the Promotional Offer cannot be assigned/ transferred by the Promotional Offer Participant to third parties.

4. TERMS AND CONDITIONS OF PARTICIPATION IN THE PROMOTIONAL OFFER

4.1. If any person who meets all the requirements of the Section 3 hereof, wants to participate in the Promotional Offer, he/she should have a Bank Card specified in the Annex No 1 of the Cash’U CLUB Program Rules and he/she has to make a transaction worth from UAH 2 in the Partner's trading network. The number of transactions is unlimited.

4.2.1. A Participant of the Cash’U CLUB Program gets cashback from the Bank to the Bonus Account.

4.2.2. All information on the amount of reward can be changed by the Bank and the Partner through negotiations and signing of relevant agreements / supplementary agreements.

4.2.3. The Participant may use the bonus points according to the Cash’U CLUB Program Rules.

4.2.4. “Cashback” option is available if the Customer participates in the Cash’U CLUB Program, if there is a Partner in the Annex No 1 hereof and after the customer’s transaction in the Partner's trade and service network.

4.2.5. When the Participant carries out a transaction in the trade and service network of the Partner – he/she thereby confirms that he/she reviewed these Rules and that he/she accepts these Rules.

4.2.6. The accrual of promotional Bonus Points from the Promotional Offer Organizer shall be from the moment of the transaction in the Partner’s network until the end of the next following the month of the transaction.

4.3. A participant of the Promotional Offer is considered to be a person who has fulfilled all the terms and conditions of the Promotional Offer in a proper way and who meets the requirements of the Section 3 hereof.

4.4. The reward shall be provided to the Participants of the Promotional Offer for payments in the Partner’s network (pursuant to the list thereof in the Annex No 1 to Promotional Offer Rules) if the Participant has fulfilled all conditions of participation in the Promotional Offer irrespective of selected Categories of increased Bonus Points accrual in the Cash’U CLUB Program.

4.5. Cashback shall be accrued according to the Annex No 1 to the Rules, where the transaction rounded-off amount is multiplied by the amount of Cashback according to the terms of the Promotional Offer. Cashback shall be accrued for every 2 hryvnias of the transactions.

5. PROMOTIONAL OFFER REWARD FUND

5.1. The Promotional Offer Reward Fund consists of the following:

5.1.1. The reward - Cashback, the amount of which shall be determined by the Bank through negotiations with the Promotional Offer Partner and shall be credited as bonus points to the Bonus Account of the Promotional Offer Participant from the Organizer.

5.2. Reward value taxation is carried out in accordance with the current legislation of Ukraine and Cash’U CLUB Program Rules. The Organizer, as a tax agent, withholds and transfers the tax from the personal income and military duty from the Reward received by the Promotional Offer Participant according to the Cash’U CLUB Program Rules and sends to the relevant tax authority a statutory notice on transfer of the Reward to the Promotional Offer Participant and tax/fee that had been withheld.

5.3. The Organizer of the Promotional Offer reserves the right to change the general Promotional Offer Reward Fund or to include additional rewards in the Promotional Offer not provided by these Rules.

6. PROCEDURE AND METHOD OF INFORMING ABOUT THE TERMS OF THE PROMOTIONAL OFFER

6.1. Informing about the terms and conditions of the Promotional Offer according to these Rules shall be as follows:

6.1.1. by placing the terms and conditions on www.alfabank.ua and/or;

6.1.2. by placing the terms and conditions on www.cashuclub.com.ua and/or;

6.1.3. by providing the respective information if the customer applies to the Bank’s contact centre and/or;

6.1.4. by providing the respective information if the customer applies to the employee of the Bank’s branch and/or;

6.1.5. by placing the terms and conditions in the branches of the Bank; and/or;

6.1.6. by placing the terms and conditions in the MAB System and/or;

6.1.7. by sending sms-notifications and other notifications according to the provisions of the agreement concluded with the Bank pursuant to the clause 3.1. hereof and/or;

6.1.8. by placing the terms and conditions on social networks Facebook and Instagram.

6.2. These Rules, as well as the information, provided for in the clause 6.1. hereof, may be amended and / or supplemented by the Organizer during the entire period of the Promotional Offer by approving them by the Organizer and informing about them in any of the ways specified in the clause 6.1 hereof.

7. DETERMINATION OF PROMOTIONAL OFFER PARTICIPANTS

7.1.The Participants of the Promotional Offer, who meet the requirements of the clause 3.1. hereof and who have fulfilled the conditions of the clause 4.1. hereof, automatically become the participants of the Promotional Offer and have an opportunity to earn Cashback on the Bonus Account.

8. PROCEDURE FOR RECEIVING A REWARD BY THE PROMOTIONAL OFFER PARTICIPANT

8.1. The information on Cashback shall be provided to the Promotional Offer Participants who have fulfilled the conditions of the clause 4.1 hereof within the period, specified in the clause 2.3 hereof.

8.2. The Promotional Offer Participant may receive the information on Bonus Points, accrued during the period of Promotional Offer in Alfa-Mobile Ukraine App and/or in Sense SuperApp and according to the Part 4 hereof.

8.3. The Organizer may give promotional Bonus Points to the Customer according to the p. 4.2.6 hereof.

8.4. The Customer may use Bonus Points in accordance with the Cash’U CLUB Program Rules.

8.5. The reward may be received only by that Promotional Offer Participant, who has the right to receive it pursuant to the terms of these Rules and according to the procedure, specified hereunder.

8.6. The Organizer and the Partner of the Promotional Offer shall not be liable for any expenses of the Promotional Offer Participant, related to receipt and subsequent use of the Reward and shall not reimburse the Participant for such expenses.

8.7. The Promotional Offer Organizer shall not be liable for subsequent use of the Reward by the Promotional Offer Participant after he/she has received it.

8.8. These Rules shall not violate the rights and freedoms of the Promotional Offer Participants in any way.

9. RIGHTS AND OBLIGATIONS OF THE PROMOTIONAL OFFER PARTICIPANT

9.1. The rights of the Promotional Offer Participant:

9.1.1. To review the Rules.

9.1.2. To take part in the Promotional Offer according to the procedure, specified by these Rules.

9.1.3. To receive the information about any amendments to the Rules according to the procedure, specified by these Rules.

9.2. The obligations of the Promotional Offer Participant:

9.2.1. To comply with the terms of this Promotional Offer according to these Rules.

10. RIGHTS AND OBLIGATIONS OF THE ORGANIZER AND PARTNER OF THE PROMOTIONAL OFFER, THEIR

10.1. The obligations of the Organizer:

10.1.1. To give rewards under the Promotional Offer to the Participant of the Promotional Offer pursuant to these Rules.

10.1.2. To accrue promotional bonus points to the Promotional Offer Participants according to the Cash’U CLUB Program Rules in case of compliance with the clause 4.1 of the terms and conditions of the Promotional Offer.

10.2. The rights of the Organizer:

10.2.1. To refuse to give rewards under the Promotional Offer to the Participants of the Promotional Offer in case of non-compliance by the Participants with the terms of these Rules.

10.3. The Organizer of the Promotional Offer shall not be liable for non-compliance or improper compliance with the terms of the Rules in case of force majeure events, such as natural disasters, fire, floods, hostilities of any kind, including declaration of war, blockade, significant changes in the legislation and other circumstances beyond the control of the Organizer. The fact of such circumstances must be confirmed by a relevant document of the Chamber of Commerce and Industry of Ukraine or another competent authority.

10.4. The Organizer of the Promotional Offer shall not engage in any disputes regarding the recognition of any persons as Participants of the Promotional Offer and the rights to receive the Reward under the Promotional Offer. The Organizer of the Promotional Offer shall not take responsibility for determining the rights of the parties in any disputes. The decisions of the Promotional Offer Organizer to determine the Participants of the Promotional Offer are final and not subject to appeal.

10.5. The Organizer of the Promotional Offer shall not bear any responsibility for the accuracy of the information provided by the Participants of the Promotional Offer, incl. contact information for communication with them.

10.6. Any claims of the Promotional Offer Participant in terms of p. 10.3-10.5 shall not be accepted and considered by the Organizer.

10.7. The obligations of the Partner:

10.7.1. To pay the fee earnings to the Organizer in accordance with the terms of the cooperation agreement between the Organizer and the Partner, during the period of the Promotional Offer.

10.8. The rights of the Partner:

10.9. The Promotional Offer Partner shall not be liable for non-compliance or improper compliance with the terms of the Rules in case of force majeure events, such as natural disasters, fire, floods, hostilities of any kind, including declaration of war, blockade, significant changes in the legislation and other circumstances beyond the control of the Partner. The fact of such circumstances must be confirmed by a relevant document of the Chamber of Commerce and Industry of Ukraine or another competent authority.

11. MISCELLANEOUS

11.1. The reward under the Promotional Offer shall not be given to the Promotional Offer Participant in the cases, stipulated by the Rules.

11.2. The decisions of the Organizer on all issues related to the Promotional Offer are final and not subject to review.

11.3. The Organizer reserves the right to terminate prematurely (cancel), suspend the Promotional Offer and change these Rules and Annexes thereto.

11.4. The Organizer reserves the right not to enter into or conduct written negotiations or in any other way not to contact with the Participants of the Promotional Offer.

11.5. Taking part in the Promotional Offer, the Participant of the Promotional Offer thereby confirms the fact of his/her familiarization with the Rules and his/her full and unconditional acceptance of them, including, but not limited to, his/her consent to receive information about the terms and conditions of the Promotional Offer from the Organizer and the Promotional Offer Partner under the terms and in the manner prescribed by these Rules. The case of non-compliance with the terms of these Rules shall be considered a refusal to participate in the Promotional Offer.

11.6. The information on the Rewards, specified in the clause 5.1 hereof, shall be received only by a person, who has received a Reward according to these Promotional Offer Rules and Cash’U CLUB Program Rules. If a Promotional Offer Participant has no opportunity to receive the information about the Rewards for the reasons beyond the control of the Promotional Offer Organizer (if Alfa-Mobile Ukraine App and/or Sense SuperApp was not installed or if another information about Promotional Offer Participant was amended or misstated, etc.), such a Promotional Offer Participant has no right to receive any compensation or other payments from the Promotional Offer Organizer.

11.7. The Promotional Offer Organizer shall not be liable for the inability of the Promotional Offer Participant to use the Reward under the Promotional Offer for any reason, provided to him/her, as well as for possible consequences of use of Promotional Offer Reward.

11.8. These Rules may be amended and / or supplemented by the Promotional Offer Organizer during the entire period of the Promotional Offer. Amendments and / or supplements to these Rules and terms and conditions of the Promotional Offer are possible if the Promotional Offer Organizer approves them and in case of informing about them in the manner specified in the clause 6.1 hereof.

11.9. In case of situations that allow for an ambiguous interpretation of the Rules and / or issues not regulated by the Rules, the final decision on such interpretation and / or clarification shall be made directly and exclusively by the Promotional Offer Organizer. In this case, such a decision of the Promotional Offer Organizer is final and not subject to appeal.

12. FINAL PROVISIONS

12.1. In case of disputed situations related to accrual of increased bonus points under the Promotional Offer, as well as in connection with other issues arising in the process of exercise of the rights and fulfilment of the obligations specified in these Rules, the Promotional Offer Participant shall apply to the Contact Centre of Alfa-Bank.

12.2. The Organizer shall consider controversial issues related to the accrual of promotional bonus points under the Promotional Offer, as well as in connection with other issues arising in the process of exercise of the rights and fulfilment of the obligations specified in these Rules, for a period not exceeding 3 (three) months from Promotional Offer end date.

12.3. When the Promotional Offer Participant accepts these Rules, he/she agrees to receive informational and / or advertising messages on the Promotional Offer through any communication channel.

12.4. The Organizer shall not reimburse against or compensate for losses, any other costs that the Participant may incur in connection with participation in the Promotional Offer.

12.5. The Organizer shall not be liable for errors / failures when transmitting data over the Internet for the reasons beyond the control of the Organizer.

12.6. In cases established by the Tax Code of Ukraine, upon receipt of any income from Promotional Offer, the Organizer shall be personally liable for fulfilment of tax obligations, payment of all applicable taxes and other existing mandatory payments, fees and duties.
